This software and its associated documentation files (collectively, the "Software") are the proprietary and confidential property of Millenniumware, Corp. ("Licensor"). The Software is licensed, not sold. By installing, accessing, or using the Software, you ("Licensee") agree to be bound by the terms of this End User License Agreement ("EULA"). ------------------------------------------------------------------------ 1. GRANT OF LICENSE ------------------------------------------------------------------------ Subject to the terms of this EULA and a valid, active license issued by Licensor, Licensee is granted a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the Software on the specific domain(s) and hardware identified in the license record, solely for Licensee's internal business purposes. ------------------------------------------------------------------------ 2. RESTRICTIONS ------------------------------------------------------------------------ Licensee shall NOT, directly or indirectly: (a) copy, reproduce, duplicate, or distribute the Software, in whole or in part, except as expressly authorized in writing by Licensor; (b) modify, adapt, translate, port, or create derivative works of the Software; (c) reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, structure, algorithms, or underlying ideas of the Software; (d) rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the Software; (e) remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or affixed to the Software; (f) use the Software to develop, design, or create a competing product or service; (g) use the Software in violation of any applicable law or regulation; (h) circumvent or disable any license-validation, security, or access control mechanism in the Software; (i) disclose, publish, share, or make publicly available any portion of the Software's source code, schemas, or proprietary methodologies. ------------------------------------------------------------------------ 3. OWNERSHIP ------------------------------------------------------------------------ The Software is owned by Millenniumware, Corp. and is protected by the copyright laws of the United States, the Commonwealth of Puerto Rico, and international treaties. All rights, title, and interest in and to the Software, including all intellectual property rights therein, remain the exclusive property of Licensor. No rights are granted to Licensee other than those expressly set forth in this EULA. ------------------------------------------------------------------------ 4. CONFIDENTIALITY ------------------------------------------------------------------------ The Software contains valuable trade secrets and proprietary information of Licensor. Licensee agrees to maintain the confidentiality of the Software and not to disclose any portion thereof to any third party without Licensor's prior written consent. ------------------------------------------------------------------------ 5. THIRD-PARTY COMPONENTS ------------------------------------------------------------------------ The Software incorporates certain third-party open-source components that are governed by their respective licenses. Such components retain their original copyright and license terms, which can be found in the /vendor/ and /node_modules/ directories. ------------------------------------------------------------------------ 6. TERMINATION ------------------------------------------------------------------------ This EULA is effective until terminated. Licensor may terminate this EULA immediately upon any breach by Licensee. Upon termination, Licensee shall cease all use of the Software and destroy all copies in its possession or control. ------------------------------------------------------------------------ 7. NO WARRANTY ------------------------------------------------------------------------ THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE. ------------------------------------------------------------------------ 8. LIMITATION OF LIABILITY ------------------------------------------------------------------------ IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ------------------------------------------------------------------------ 9. GOVERNING LAW ------------------------------------------------------------------------ This EULA shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and the United States, without regard to conflict-of-law principles.
